End User License Agreement

Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Local Legacy Vault ("Company," "we," "us," or "our") for the use of the Local Legacy Vault software application ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable license to:

• Personal License: Install and use the Software on one (1) computer for personal, non-commercial use
• Family License: Install and use the Software on up to three (3) computers within the same household for personal, non-commercial use

This license is perpetual and does not expire, provided you comply with the terms of this Agreement.

Restrictions

You may NOT:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Use the Software for commercial purposes without a commercial license
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to engage in any illegal activity

Ownership

The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to our trademarks, service marks, or logos.

Your Data

All data you create, enter, or store using the Software ("Your Data") remains your property. The Software stores Your Data locally on your device. We do not have access to, and cannot see, copy, or transmit Your Data. You are solely responsible for:

• Backing up Your Data
• Maintaining the security of your master password
• Ensuring the accuracy and legality of Your Data

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Software will be accurate or reliable

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or use
• Business interruption
• Cost of substitute goods or services

Our total liability under this Agreement shall not exceed the amount you paid for the Software license.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Software or violation of this Agreement.

Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

Updates and Support

We may, at our discretion, provide updates, patches, or new versions of the Software. Such updates may be subject to additional or different terms. Technical support is provided as described on our website and may be modified at any time.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Severability

If any provision of this Agreement is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between you and us regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
